Terms of Service Agreement

Operator: Incidr ("we," "us," or "our")

1. Acceptance of Terms

By accessing or using the Incidr ("Platform"), you ("User," "Member," or "you") agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

2. Description of Service

Incidr is a Networking-as-a-Service (NaaS) platform designed to facilitate:

  • Professional connections across industries and markets
  • Sharing of sales intelligence, introductions, and insights
  • Collaboration in business development without competing for deals

We may update or change the features, tools, or structure of the Platform at any time without prior notice.

3. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Platform. You represent and warrant that:

  • You are authorized to represent your company, if registering on its behalf.
  • You are not using the Platform for unlawful, unethical, or deceptive purposes.

4. User Accounts

  • Users are required to create an account and provide accurate, up-to-date information.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You agree to notify us immediately of any unauthorized access to your account.

5. Acceptable Use

You agree not to:

  • Harvest or misuse contact information shared by others
  • Upload, post, or transmit any confidential or proprietary business data without permission
  • Use the Platform for competitive intelligence or data scraping
  • Misrepresent your identity or your company
  • Spam or solicit other Members inappropriately
  • Use the Platform in any way that violates laws, third-party rights, or these Terms

6. Confidentiality & Privacy

  • You may have access to insights, contacts, or collaboration opportunities. You agree to treat shared information with confidentiality unless it's clearly public or explicitly marked for redistribution.
  • You must not disclose or reuse any proprietary information shared through private interactions without consent.

Use of the Platform is also governed by our Privacy Policy, which is incorporated by reference.

7. Member Interactions

  • The Platform does not verify or endorse any individual user, company, or shared opportunity.
  • Any decision to collaborate, partner, or share information is at your own discretion and risk.
  • You agree to interact with other Members in a professional and respectful manner.

8. Platform Content

Each Member is responsible for:

  • We own or license all content, trademarks, and intellectual property on the Platform.
  • Users may not copy, modify, distribute, or reverse-engineer any part of the Platform without written permission.

9. Termination

We reserve the right to suspend or terminate your access to the Platform, without notice, if you violate these Terms, misuse the service, or engage in behavior that disrupts the community.

You may delete your account at any time. Termination will not relieve either party of any obligation or liability accrued prior to termination.

10. Disclaimers

  • The Platform is provided “as is” and “as available.”.
  • We do not guarantee outcomes, matches, business success, or the accuracy of user-contributed content.
  • We are not responsible for any disputes between users, nor for any damages arising out of third-party interactions.

11. Limitation of Liability

o the fullest extent permitted by law, Incidr and its affiliates shall not be liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of business, profits, data, or goodwill.
  • Any issues arising from user-contributed content or third-party services

12. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you via email or through the Platform. Continued use of the Platform constitutes acceptance of updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Virginia. Any legal action or proceeding must be brought in courts located within Virginia.
